Terms of Service

These Terms of Service and Lease Agreement (“Terms”) govern your subscription, lease, or rental of the Stella Stationary™ device (the “Device”) and your use of associated software, cloud services, content, and analytics (collectively, “Stella” or the “Service”).

By ordering, paying for, or using Stella Stationary, you agree to these Terms. If you do not agree, do not order or use Stella Stationary.

2. Lease of Device
  • The Device remains HABIT’s exclusive property at all times. You are leasing—not purchasing—the Device for use only while your subscription is active.
  • You may not sell, rent, lend, rebrand, modify, reverse-engineer, or remove notices from the Device.
  • Normal wear on plastic surfaces is acceptable and will not incur fees.
  • The Device may include sensors, cameras, microphones, and other components necessary for intended operation.
3. Use of Stella

You agree to:

  1. Use the Device solely at the address provided during checkout unless you obtain our written consent to move it.
  2. Keep the Device connected to stable power and Internet.
  3. Use Stella in accordance with all local, state, and federal laws—including privacy, surveillance, and consent laws regarding audio/video capture and automated analysis.
  4. Prominently display a clear notice to customers and employees that audio and/or video recording and automated processing may be in use where required by law.
  5. Not interfere with or bypass any software, security, or configuration features, and not use Stella for unlawful, defamatory, discriminatory, or misleading purposes.
4. Software, Connectivity, and Remote Management
  • Stella software and services are delivered as a hosted, cloud-based platform.
  • We may push automatic updates, patches, configurations, and security changes.
  • You consent to HABIT remotely monitoring Device performance, uptime, network connectivity, and sensor functionality for diagnostics, support, abuse detection, safety, and product improvement.
5. Fees, Billing, and Cancellations
  • Subscriptions are billed monthly in advance through your saved payment method; charges are non-refundable except as required by law or at our discretion.
  • Taxes and processor fees may apply.
  • Pricing changes: We may modify pricing with at least 30 days’ notice before your next billing cycle.
  • Cancellation: You may cancel any time via your account or by emailing support@stellabots.com.
    • If you cancel within your first three (3) billing periods, a $99 cancellation fee applies and will be charged to your saved payment method.
    • No cancellation fee applies after your first three billing periods or if HABIT ends the Service for convenience.
    • After cancellation, you must return the Device within 14 days using the prepaid label we provide. Billing stops at the end of the current paid period once we receive the Device in good condition.
  • Failure to maintain a valid payment method may result in suspension or termination.
5.1 SaaS Classification

All Fees are for a subscription to HABIT’s cloud-based software service. The Hardware is provided solely as an incidental enabling device and is not separately priced or leased.
This classification applies regardless of any “lease” or “rental” wording used to describe the Device program.

6. Loss, Damage, or Non-Return

If the Device or any component is lost, stolen, or returned damaged beyond normal wear, you agree to the following replacement fees:

  • Whole Unit Replacement: $699
  • Top Module: $199
  • Compute Module: $299
  • Bottom Module: $99.
  • Normal wear on plastic parts: no charge.
  • Devices not returned within 14 days after cancellation or termination are deemed lost and the applicable replacement fee will be charged to your payment method.
7. Data and Privacy
7.1 What Stella Collects (“Stella Data”)

Stella may capture, generate, or transmit:

  • Audio and video recordings of publicly accessible store areas;
  • Sensor data, telemetry, and device diagnostics;
  • Interaction logs, analytics, and metadata (e.g., timestamps, events, counters);
  • Technical and usage data about connectivity, device health, and performance.
7.2 Ownership and License
  • HABIT exclusively owns all rights, title, and interest in Stella Data.
  • By using Stella, you grant HABIT a perpetual, worldwide, royalty-free license to collect, process, analyze, copy, modify, anonymize, and aggregate Stella Data to operate, secure, support, and improve HABIT products and services (including model training and evaluation on anonymized/aggregated data).
7.3 Access and Monitoring

You acknowledge and agree that HABIT may:

  • Remotely access the Device and Service for maintenance, troubleshooting, updates, abuse prevention, and safety;
  • View or review recordings, logs, or other Stella Data for diagnostics, support requests, quality assurance, safety investigations, or legal compliance;
  • Retain Stella Data for as long as reasonably necessary for business, legal, security, or analytical purposes.
7.4 Your Compliance Responsibilities

You are solely responsible for:

  • Complying with all applicable privacy, surveillance, employment, and consumer-protection laws, including any notice and consent obligations for audio/video recording and automated processing;
  • Posting clear signage that recording and automated analysis may occur;
  • Obtaining and maintaining any required consents from employees, contractors, or visitors.
    HABIT is not responsible for your failure to comply with such laws.
7.5 Security

HABIT maintains commercially reasonable administrative, technical, and physical safeguards to protect Stella Data against unauthorized access or disclosure. No system is perfectly secure; we cannot guarantee absolute security.

7.6 Privacy Policy

Your use of Stella also is subject to our posted Privacy Policy, which describes our broader privacy practices. If there is a conflict, these Terms control for your use of the Device and Service.

8. No Warranty; No SLA

Stella Stationary and related software/services are provided “as is” and “as available.”
HABIT makes no warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, or any service-level or uptime commitments.

9. Limitation of Liability

To the fullest extent permitted by law:

  • HABIT will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any lost profits, lost data, or business interruption;
  • HABIT’s total liability for all claims will not exceed the total amounts you paid in the 12 months preceding the event giving rise to the claim;
  • These limits apply even if any limited remedy fails of its essential purpose.
10. Indemnification

You agree to defend, indemnify, and hold harmless HABIT and its affiliates, officers, directors, employees, and agents from and against all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
(a) your use or misuse of Stella; (b) your breach of these Terms; or (c) your failure to comply with privacy/recording/notice/consent laws.

11. Termination and Return
  • HABIT may suspend or terminate your access immediately if you: (a) fail to pay; (b) damage or misuse the Device; or (c) violate these Terms.
  • Upon termination (by you or us), you must promptly return the Device using the prepaid label within 14 days.
  • Non-return or excessive damage will incur the replacement fees in Section 6.
  • If you cancel within your first three billing periods, the $99 cancellation fee in Section 5 applies.
12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflicts-of-law principles.
Any dispute will be resolved by binding arbitration in Wilmington, Delaware under JAMS rules.
Each party waives any right to a jury trial.
HABIT may seek injunctive relief for unauthorized use of intellectual property or confidential information.

13. Changes to These Terms

We may update these Terms from time to time. Updated Terms are effective when posted on our website. Continued use of Stella after an update constitutes your acceptance.
